Terms of Use

These Terms of Use govern access to and use of ascenvie.com and any pages, content, materials, communications, or functionality made available through the site (collectively, the “Site”). “ASCENVIE” refers, as applicable, to the ASCENVIE brand and the affiliated entities, principals, managers, members, officers, employees, agents, representatives, project-specific entities, and sponsored vehicles through which its activities may be conducted.

The Site is provided for general corporate and informational purposes only. Any offer of securities, if made, will be made solely by the applicable issuer through definitive offering and subscription documents furnished to eligible prospective investors in accordance with applicable law.

01. Acceptance and Scope

By accessing or using the Site, you acknowledge that you have read and agree to these Terms of Use and the ASCENVIE Privacy Policy. If you do not agree, do not use the Site.

These Terms govern only the Site. They do not amend, replace, supplement, or supersede any operating agreement, limited partnership agreement, subscription agreement, private placement memorandum, confidentiality agreement, purchase agreement, financing document, advisory agreement, or other definitive agreement to which you or an ASCENVIE-related entity may be a party. In the event of a conflict, the applicable definitive agreement controls with respect to its subject matter.

02. No Offer or Solicitation

Nothing on the Site constitutes or is intended to constitute an offer to sell, a solicitation of an offer to buy, a recommendation to acquire or dispose of, or an invitation to invest in any security, partnership interest, membership interest, fund interest, note, debt instrument, or other investment product.

References to ASCENVIE’s investment approach, development activities, projects, capital, investors, transactions, or opportunities are descriptive of the firm and its activities and are not offering terms. The Site is not a prospectus, private placement memorandum, offering circular, term sheet, subscription document, or other offering document.

Any offer, if made, will be made only by the applicable issuer, only in a manner permitted by applicable law, and only through definitive materials containing the terms, conditions, risk factors, conflicts, fees, expenses, transfer restrictions, eligibility standards, and other disclosures applicable to that offering. No person may invest based solely on information contained on this Site.

03. Securities Matters

Securities transactions are subject to federal and state securities laws and to the terms of any registration statement or applicable exemption from registration. Access to information through this Site does not establish that any person is eligible to participate in any offering.

11. Affiliates and Potential Conflicts

ASCENVIE’s activities may be conducted through affiliated entities, project-specific entities, joint ventures, counterparties, and service providers. ASCENVIE-related persons or entities may have economic or other interests in projects or transactions described on the Site.

The Site is not intended to provide a complete description of actual or potential conflicts of interest. Material conflicts relating to any investment opportunity will be addressed in the applicable definitive materials if and as required by law.

12. Communications, Inquiries and Confidentiality

Information submitted through the Site is transmitted for the purpose of allowing ASCENVIE to review and respond to inquiries. Submission of information does not obligate ASCENVIE or any affiliate to respond, enter into discussions, provide information, pursue a transaction, or establish any relationship.

Unless ASCENVIE has separately agreed in writing to confidentiality, you should not submit confidential, proprietary, trade-secret, privileged, material nonpublic, or otherwise sensitive information through the Site. The receipt of unsolicited information does not create a duty of confidentiality or restrict ASCENVIE from pursuing opportunities or relationships that may be similar to or competitive with matters described in an unsolicited submission, subject to applicable law.

13. Intellectual Property

The Site and its text, design, graphics, trademarks, service marks, logos, photographs, renderings, data, layout, code, and other content are owned by ASCENVIE, its affiliates, licensors, or other rights holders and are protected by applicable intellectual-property laws.

You may access and make limited copies of publicly available Site content solely for your personal, noncommercial evaluation of ASCENVIE. No other reproduction, modification, republication, distribution, framing, scraping, data extraction, commercial use, creation of derivative works, or use of ASCENVIE names or marks is permitted without prior written authorization.

14. Permitted Use and Site Security

You may use the Site only for lawful purposes and in a manner that does not interfere with its operation or the rights of others. You may not attempt to gain unauthorized access to the Site or related systems; introduce malicious code; circumvent security measures; impersonate another person; use automated means in a manner that imposes an unreasonable burden; or use Site content for unlawful, deceptive, infringing, or fraudulent activity.

ASCENVIE may restrict, suspend, or terminate access to the Site at any time to protect the Site, its users, its rights, or third parties.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” ASCENVIE DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES REGARDING THE SITE, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, CURRENTNESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY, AVAILABILITY, OR FREEDOM FROM ERRORS OR HARMFUL COMPONENTS.

ASCENVIE does not warrant that information on the Site is complete, current, or error-free. Information may be changed, corrected, supplemented, removed, or updated without notice.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ASCENVIE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST OPPORTUNITIES, LOST DATA, BUSINESS INTERRUPTION, OR OTHER LOSSES ARISING OUT OF OR RELATING TO ACCESS TO, USE OF, INABILITY TO USE, OR RELIANCE ON THE SITE OR ITS CONTENT.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including any liability or right arising under federal or state securities laws to the extent such exclusion, limitation, or waiver is prohibited by law.

17. Governing Law; Forum

Except to the extent preempted or otherwise governed by applicable federal law, these Terms and disputes arising solely from use of the Site will be governed by the laws of the State of California, without regard to conflict-of-laws principles.

Subject to any forum required by applicable law or by a separate definitive agreement, disputes arising solely from use of the Site may be brought in a state or federal court of competent jurisdiction located in San Francisco, California. Nothing in this section is intended to alter the jurisdiction, venue, removal, or procedural rights applicable to a claim under federal or state securities laws.

18. Securities-Law Rights Preserved

Nothing in these Terms is intended to constitute a waiver of compliance with any provision of the Securities Act of 1933, the Securities Exchange Act of 1934, the Investment Advisers Act of 1940, any rule or regulation promulgated thereunder, or any other federal or state securities law where such waiver would be void or prohibited.

No disclaimer, limitation, acknowledgment, or other provision on the Site should be interpreted to eliminate a duty, liability, remedy, or investor protection that applicable law does not permit to be waived.

19. Changes; Severability; No Waiver

ASCENVIE may revise these Terms from time to time by posting an updated version on the Site and changing the “Last updated” date. Continued use of the Site after an update constitutes acceptance of the revised Terms to the extent permitted by law.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law. A failure to enforce any provision does not constitute a waiver of that provision or any other right.
